Terms of Service

1. Acceptance of Terms

By accessing or using Praylum (the "Platform"), registering an account, uploading content, purchasing a subscription, or purchasing any digital product, you ("User," "Creator," or "Member") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Content Standards.

If you do not agree to these Terms, you may not access or use the Platform. Continued use of the Platform constitutes acceptance of any updated Terms.

These Terms constitute a legally binding agreement between you and Praylum, LLC ("Praylum," "we," "us," or "our").

2. Accounts & Eligibility

Age Requirement. You must be at least 18 years of age to create an account on Praylum. By registering, you represent and warrant that you are 18 or older.

Account Accuracy. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

One Account Per Person. Each individual may maintain one account. Creating duplicate accounts to circumvent bans or suspensions is prohibited and will result in permanent removal from the Platform.

Creator Accounts. Creator status requires application approval. Praylum reserves the right to approve or deny creator applications at its sole discretion, and to revoke creator status for violations of these Terms or the Content Standards.

3. Creator Terms

Content Ownership. You retain ownership of all content you upload to Praylum. By uploading content, you grant Praylum a non-exclusive, royalty-free, worldwide license to host, display, transcode, distribute, and promote your content on the Platform for the purpose of providing the service.

Revenue Share. Praylum pays creators a revenue share based on their subscription plan: 75% (Starter), 82% (Pro), or 90% (Premium). Revenue share applies to subscription-attributed earnings and PPV content purchases. Praylum retains the remaining percentage as a platform fee.

PPV Content. For pay-per-view (PPV) video purchases, creators receive 70% of the purchase price. Praylum retains 30% as a platform and processing fee.

Video Boosts. Video Boost fees ($12 for 3 days, $29 for 7 days, $79 for 30 days) are not refundable once a boost has been activated and live time has begun.

Creator Responsibilities. You are solely responsible for all content you upload, including its legality, accuracy, and compliance with these Terms and applicable law. You represent and warrant that you own or have the rights to all content you upload and that it does not infringe any third-party rights.

Creator Agreement. By activating creator status, you agree that Praylum may feature your content on the Platform's explore, trending, or homepage sections at no additional charge and without prior notice, as part of normal platform promotion.

4. Member Terms

Permitted Use. Members may access content on Praylum for personal, non-commercial use only. You may not resell, redistribute, reproduce, screen-record, or otherwise exploit purchased or subscription content beyond your personal viewing.

Accountability Pods. Pod participation requires respectful conduct consistent with the Platform's community values. Praylum reserves the right to remove any user from a pod for conduct that is disruptive, harassing, or inconsistent with the Content Standards.

Coaching Bookings. Coaching sessions booked through Praylum are provided directly by independent creator-coaches. Praylum facilitates the booking infrastructure but is not a party to the coaching relationship and does not guarantee the quality, results, or outcomes of any coaching engagement.

5. Payments & Subscriptions

Payment Processor. All payments on Praylum are processed by Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service. Praylum does not store your full credit card information.

Subscription Billing. Paid subscriptions (Pro at $79/month, Premium at $149/month) are billed monthly on the anniversary of your subscription start date. Subscriptions automatically renew unless cancelled before the renewal date.

Cancellation. You may cancel your subscription at any time through your Billing Portal at /billing/. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

Price Changes. Praylum reserves the right to change subscription pricing. We will provide at least 30 days' notice of any price changes. Continued use after the effective date constitutes acceptance of the new pricing.

Taxes. Prices displayed do not include applicable sales taxes or VAT. Tax obligations are your responsibility as required by your local jurisdiction.

6. Refund Policy

All Sales Are Final. Praylum provides access to digital content and services, including video programs, live streaming, subscription plans, PPV purchases, coaching bookings, and Video Boosts. Because these are digital products and services delivered immediately upon purchase, all sales are final and non-refundable.

No Refunds on Subscriptions. Monthly subscription fees are non-refundable. If you cancel your Pro or Premium subscription, you will retain access through the end of the billing period but no partial-month refund will be issued.

No Refunds on PPV Purchases. Once a pay-per-view video has been purchased and access has been granted, the purchase is non-refundable. This applies regardless of whether the content has been viewed.

No Refunds on Video Boosts. Video Boost fees are non-refundable once a boost campaign has been activated, even if it has not yet expired.

No Refunds on Coaching Sessions. Coaching session bookings are facilitated by independent creator-coaches. Refund eligibility for coaching sessions is at the sole discretion of the individual coach. Praylum does not issue refunds for coaching services. Any disputes regarding coaching sessions must be resolved directly with the creator-coach.

Exceptions. In the event of a verified technical failure that prevented access to a product or service you purchased, and where Praylum is determined to be solely at fault, we may, at our discretion, issue a credit to your account or an alternative remedy. Refund requests must be submitted within 7 days of the original purchase to [email protected] with documentation of the technical issue.

Chargebacks. Filing a chargeback or payment dispute with your bank or card issuer for a valid charge will result in immediate suspension of your account. Praylum will contest fraudulent chargebacks and may pursue collections for recovered fees.

By completing a purchase on Praylum, you acknowledge that you have read and understood this refund policy and agree that your purchase is final and non-refundable.

7. Affiliate Program

Commission Structure. Praylum's affiliate program pays 30% recurring commission on the monthly subscription fees of referred members for as long as the referred subscription remains active.

Payment Threshold. Affiliate commissions are paid monthly. A minimum balance threshold may apply before payout. Commissions are forfeited if an account is terminated for violations of these Terms.

Prohibited Promotion. Affiliates may not use paid advertising that directly targets Praylum's branded keywords, misrepresent the Platform's features, or engage in spam or unsolicited messaging to promote their affiliate link.

Self-Referral. Earning commissions from your own subscription or from accounts you control is prohibited and constitutes fraud. Praylum reserves the right to void commissions and terminate accounts found to be engaging in self-referral.

8. Content Rules

All content on Praylum must comply with our Content Standards. The following content is strictly prohibited on the Platform:

• Content that promotes, glorifies, or facilitates violence, self-harm, or harm to others
• Sexually explicit or pornographic content of any kind
• Content involving or exploiting minors
• Content that promotes illegal activity, including fraud, money laundering, or drug use
• Content that constitutes harassment, doxxing, or targeted attacks against individuals
• Misinformation or deceptive content designed to mislead viewers
• Content that infringes upon the copyright, trademark, or other intellectual property rights of third parties
• Content that violates any applicable federal, state, or local law

Praylum reserves the right to remove any content that violates these rules and to suspend or terminate accounts responsible for such violations, without prior notice and without refund.

9. Intellectual Property

Platform IP. The Praylum name, logo, interface design, software, and all proprietary systems are the intellectual property of Praylum, LLC. You may not copy, reproduce, modify, or create derivative works from any Praylum-owned property without express written permission.

Your Content. You retain all ownership rights to content you upload. You grant Praylum the limited license described in Section 3 solely for platform operation purposes.

DMCA. Praylum respects intellectual property rights. If you believe content on the Platform infringes your copyright, please submit a DMCA takedown notice to [email protected] with the required statutory information. Repeat infringers will have their accounts terminated.

10. Disclaimers

Platform As-Is. Praylum is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Creator Content. Praylum does not endorse, verify, or guarantee the accuracy, completeness, or quality of any content posted by creators. Views expressed by creators are their own and do not represent the views of Praylum, LLC.

Third-Party Services. The Platform integrates with third-party services including Stripe, Cloudflare, and others. Praylum is not responsible for the availability, accuracy, or terms of any third-party service.

Faith & Spiritual Content. Spiritual, prophetic, prayer, and ministry content on Praylum represents the personal beliefs and perspectives of individual creators. Praylum does not make any claims about the spiritual or theological validity of content on the Platform. Viewers are encouraged to exercise their own spiritual discernment.

Health & Wellness Content. Content related to health, nutrition, fitness, mental wellness, or medical topics on Praylum is for informational purposes only and does not constitute medical advice. Always consult a qualified healthcare professional before making any health-related decisions.

Financial Content. Content related to business, investing, financial planning, or wealth-building on Praylum is for informational and educational purposes only. Nothing on the Platform constitutes financial, investment, tax, or legal advice. Always consult a qualified professional for personalized guidance.

Coaching Disclaimer. Coaching sessions booked through Praylum are provided by independent creator-coaches who are not employees or agents of Praylum. Praylum does not supervise, certify, or guarantee the qualifications of any coach on the Platform.

11. Earnings Disclaimer

No Income Guarantee. Praylum makes no representations, warranties, or guarantees that any creator or affiliate will achieve any specific level of revenue, income, or financial success using the Platform. Any revenue figures, income examples, or financial projections referenced in marketing materials, creator testimonials, or on the Platform itself are illustrative examples of what is possible — they are not typical results and do not represent a promise or guarantee of earnings.

Results Vary. Individual earnings depend on a wide range of factors including but not limited to: audience size, content quality, niche, pricing, marketing effort, engagement, consistency, and individual business acumen. Most creators who join a new platform do not generate significant revenue immediately.

Revenue Share. The revenue share percentages stated (75%, 82%, 90%) apply to net revenue after payment processing fees charged by Stripe. Stripe's processing fees (currently approximately 2.9% + $0.30 per transaction for U.S. cards) are deducted before Praylum's revenue share is applied. Praylum reserves the right to update payment processing fee disclosures as processor rates change.

Affiliate Earnings. The 30% affiliate commission referenced in Praylum's marketing applies to monthly subscription revenue from referred paying subscribers. Commissions are not earned on free accounts, cancelled subscriptions, refunded charges, or fraudulent transactions.

FTC Compliance. Praylum requires that all affiliates and creators comply with FTC guidelines regarding endorsements, testimonials, and income claims. If you promote Praylum or share your earnings results, you must clearly disclose your material connection to the Platform and disclose that results are not typical.

By using Praylum, you acknowledge that you have read and understood this earnings disclaimer, and that your financial outcomes are entirely your own responsibility.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAYLUM, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY CONTENT THEREON.

IN NO EVENT SHALL PRAYLUM'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PRAYLUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, Praylum's liability is limited to the greatest extent permitted by law.

13. Termination

By You. You may terminate your account at any time by contacting [email protected]. Account termination does not entitle you to a refund of any fees paid.

By Praylum. We reserve the right to suspend or terminate your account, with or without notice, for any violation of these Terms, the Content Standards, or for conduct that Praylum reasonably determines is harmful to the Platform, other users, or third parties.

Effect of Termination. Upon termination, your access to the Platform ceases immediately. For creator accounts, your content will be taken down within a reasonable period. Pending earnings at the time of termination for cause may be forfeited. Pending earnings for voluntary cancellation will be paid according to the normal payout schedule.

Survival. Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Earnings Disclaimer), 12 (Limitation of Liability), and 14 (Governing Law) survive termination of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state of applicable jurisdiction, without regard to conflict of law principles.

Disputes. Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through informal good-faith negotiation. If resolution is not reached within 30 days, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law.

Class Action Waiver. You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to Terms. Praylum reserves the right to update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and, where appropriate, by email notification. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

16. AI-Powered Features & Agent Tools

Praylum provides access to AI-powered tools including Aether AI, the Agent Builder, and any AI agents available on the Praylum Marketplace (collectively, "AI Features"). By using AI Features, you agree to the following:

• AI outputs are generated automatically and may contain errors, inaccuracies, or incomplete information. Praylum makes no warranties regarding the accuracy, completeness, or fitness for purpose of any AI-generated content.
• AI Features are provided as productivity and creative assistance tools only. Nothing generated by any AI Feature on Praylum constitutes professional advice of any kind, including but not limited to legal, financial, medical, psychological, spiritual, or business advice.
• You are solely responsible for reviewing, evaluating, and acting on any AI-generated output. Praylum is not liable for any decisions made based on AI-generated content.
• You may not use AI Features to generate content that violates Praylum's Community Guidelines, applicable law, or Anthropic's usage policies.

17. AI Agent Marketplace

Praylum operates a digital marketplace ("the Marketplace") where approved creators may list and sell AI agents, digital products, templates, and other digital goods. By using the Marketplace, you agree:

• Praylum acts solely as a platform intermediary. Praylum is not the seller of third-party Marketplace products and is not responsible for the performance, accuracy, or outcomes of any third-party AI agent or digital product purchased through the Marketplace.
• All Marketplace purchases are final unless otherwise stated in the individual product listing or required by applicable law.
• Praylum reserves the right to review, approve, reject, suspend, or remove any Marketplace listing at its sole discretion, without notice or liability to the seller.
• Praylum collects a platform fee on all Marketplace transactions. Current fee percentages are displayed at checkout and may be updated with notice to sellers.
• Sellers warrant that their products do not infringe any third-party intellectual property rights and comply with all applicable laws. Sellers indemnify Praylum against any claims arising from their Marketplace listings.

18. Agent Builder & User-Created Agents

Praylum's Agent Builder tool allows eligible members to create custom AI agents using Praylum's infrastructure. By creating an agent, you agree:

• You own the configuration inputs (name, instructions, knowledge base content) you provide to the Agent Builder. You do not own the underlying AI model or Praylum's agent infrastructure.
• You are solely responsible for the behavior, outputs, and accuracy of any agent you create. Praylum is not liable for outputs generated by user-created agents.
• All user-created agents intended for Marketplace listing must be reviewed and approved by Praylum before publication. Praylum may reject any agent that violates community guidelines, contains misleading claims, or is deemed inconsistent with Praylum's faith-aligned values.
• You may not create agents that impersonate real individuals, provide professional advice without appropriate disclaimers, promote harmful ideologies, or violate any applicable law or Anthropic's usage policies.
• Praylum reserves the right to suspend or delete any user-created agent at its sole discretion.

19. Intellectual Property & AI Outputs

• Content you input into AI Features remains your intellectual property.
• AI-generated outputs produced using Praylum's tools are provided to you for your personal and business use. Praylum does not claim ownership of AI-generated outputs produced on your behalf.
• You may not reverse-engineer, extract, replicate, or redistribute Praylum's system prompts, agent configurations, or AI infrastructure.
• Praylum's proprietary AI agents (including Aether) are protected intellectual property of Praylum. Unauthorized reproduction or resale of Praylum's native agents is prohibited.

20. Limitation of Liability for AI Services

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAYLUM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF AI FEATURES, USER-CREATED AGENTS, OR MARKETPLACE PRODUCTS, EVEN IF PRAYLUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, PRAYLUM'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

21. AI Training Data

By using Praylum, you agree that anonymized, aggregated data from your platform usage may be used to improve Praylum's AI systems including Aether. Individual conversation content is never shared with third parties. Contact [email protected] to opt out.

22. Booking Cancellation Policy

Clients may cancel or reschedule a session up to 24 hours before the scheduled start time using the link provided in their confirmation email. Cancellations within 24 hours are subject to the individual coach's refund policy. Praylum is not responsible for refund disputes between coaches and clients.
